This Affiliate or Reseller Agreement
(the "Agreement") contains the complete terms and conditions which
govern your participation in the Affiliate Program run by Business
Wise™ and TopBusinessProducts™. Your
participation as a valued affiliate are subject to your compliance with the
terms and conditions set forth below.
When you become a Business Wise Affiliate you can earn up to 50% commission on every sale you generate. Over the next couple of
months there will be literally hundreds of products coming online that you can
also earn a commission on.
There is no cost to
register as a Business Wise™
affiliate.
The Business Wise™
Affiliate Program is run in association with Top Business Products™.
There will be a number of affiliate programs offered in the near
future. Different programs may have different commission payment
structures depending on the product sold and whether it is a
physical product or a digital download product.
Commission payment structures will
mostly be as a fixed percentage (%) of the sales price (including
GST). There may be some affiliate programs that have a fixed dollar
$ amount payable per item sold.
In all cases you will be told what
each affiliate program's payment structure is.
As a general rule physical products
will pay a smaller commission rate. This is because there is more
costs involved in producing, posting and handling the physical
products. The sale price of physical products will
always be higher than the digital download products, therefore you
will be earning a smaller rate of commission on a larger sale price.
Most affiliate programs will have a
once off payment structure. ie, You make a sale you earn a
commission. Some affiliate programs however will allow you to earn
recurring commissions month after month as long as the person you
referred stays a paying registered subscriber.
The
MYOB Instant Newsletter™
affiliate program is an example where it is possible to earn a
recurring commission.
The Business Wise™
Affiliate Program
is run through
Delavo™, a proven and trusted third
party software. You will be provided with up to the minute
independent tracking of sales, plus you will automatically receive
an email as soon as someone purchases a product through your
affiliate link.
As a subscriber, if you would like to promote the MYOB Instant
Newsletter™, you will receive 40% recurring commissions paid on the
1st of every month, after the '30 Day Money Back
Guarantee' expires. For example, if you sell a membership on April
29th, you will receive your commission on June 1st which is after
the guarantee period expires. If you sell a membership on May 6,
you will not receive your commission until July 1st as the '30 Day
Money Back Guarantee' period would not have expired by June 1.

to track all sales and affiliate commissions. As well as being
subject to the Terms and Conditions of this Affiliate Agreement, you
are also subject to the Terms of Service Agreement governing the use
of
Delavo™ and The Internet Company™
To be eligible to earn a commission as
a
Business Wise™
Affiliate you must first register to
become an affiliate. It's free and
only takes a minute to complete your registration as an Affiliate.
Once you have completed the Affiliate
Registration Process you will receive customised
affiliate links for the various products. Once you have your
affiliate links you will be able to start
promoting the various products and making sales.
Different styles of affiliate programs
will be used. Some affiliate programs will be single tiered, some
will be a two (2) tiered system.
Where an affiliate program is a two (2)
tiered program, you will be able to earn a commission on sales of
the affiliate that you introduce. You will be able to keep a track
of all sales and sub affiliates and their sales through your
administration section of Delavo™.
The names of
the packages and the commission rates for each package are displayed
in the following table.

Commissions on this affiliate program will be paid instantly into
your paypal account.
All amounts are calculated in AUD $
(Australian Dollars) and include GST.
Australian
Business Number.
To be a part of any of these affiliate
programs you must have a current ABN Australian Business Number if
you are an Australian resident. If you do not have a current ABN
then no commissions will be paid.
To get an ABN go to
www.abr.gov.au and complete the
online registration form. When you receive your ABN you must update
your profile in the Affiliate Management Centre at
www.TopBusinessProducts.com/2
You should insert your ABN in the
position marked Tax ID (SSN) on the affiliate application form.
Referral Tracking.
Referral tracking is held for a period
of 10 years which means that if a customer clicks on your referral
link and makes a purchase within a 10 year period, you will receive
the referral credit for the sale.
You will receive credit every time your
referred customer purchases a product or service. We use cookies to insure if they return to
any one of our websites you
will still make commissions from that referral for a period of 10
years after the initial referral. This assumes that the person you
referred does not delete the cookies from his computer.
Recurring commissions will be paid
as long as your account and the account of the person you introduced
is fully paid up.
In order for you to get PAID on a sale, the referral MUST click on your
affiliate link or banner. The code MUST be the exact code generated by
Delavo™. That is the ONLY way we can track your
commission.
Pay-Out Schedule
You are required to have a minimum of
$50.00$ (AUS) in commissions credited to your account before we will
make a commission payment. All commissions are accrued until this
minimum commission level is achieved.
Minimum payment amount is 50.00$. Commissions are paid for all
service plans. Commissions are paid on accounts that have paid for
their service. Commissions will accrue immediately, but will be paid
the month following after account sign-up. All payments are sent
between the 10th and 15th of the month for the previous months sales
and recurring customer payments.
Adjustments will be made to commission
payments for any commissions paid where people have asked for
refunds.
Method Of Payment
Payment will be made by PayPal.
Termination as an Affiliate.
Please note: Our company has zero
tolerance for any behaviour that is defamatory, misleading,
libellous, obscene or otherwise potentially damaging to the
reputation of
Business Wise™, Top Business
Products™, Delavo™ and The Internet Company™.
In any of your marketing or promotional activities you must not...
Send 'Spam' or Unsolicited Email under
any circumstances.
Violate any state, federal or foreign laws or regulations.
Infringe on any intellectual property rights.
Be defamatory, slanderous or trade libellous.
Be threatening or harassing.
Be discriminatory based on gender, race, age or promote hate.
Your Affiliate account will be terminated immediately and all unpaid
commissions will be forfeited if any of the above occurs!
Purchasing Through Your Own Link.
As a participant in this affiliate
program you are not entitled to refer yourself or your own company
and receive commission on these transactions.
Refund Policy.
This program has a thirty (30) day Money Back Guarantee. If you want
a refund within thirty days of purchasing one of the packages, you
need to contact administration. Anyone asking for a refund within 30
days will forfeit any unpaid commissions earned during that time.
You will also lose any Affiliates that have signed up under you.
There will be no refunds after the first
30 days under any circumstances.

reserves the right to change this information, affiliate terms,
conditions, commission rates and payment policies at any time.
Terms of Service
Agreement - Delavo™ and The Internet Company™
This Terms of Service Agreement provides the terms and conditions
governing the use of Delavo™. You agree to
use your Delavo™ in a manner consistent with all
applicable laws and regulations and in accordance with the terms and
conditions discussed below.
This agreement is between Delavo™ and all subscribers. Unless the context requires otherwise,
Delavo™ and/or their assigns shall be referred to as
"us, we, or our" and you shall be referred to as "you, your or
subscriber."
I understand that Delavo™, and/or their assigns does
not guarantee or predict any type of profit or response from said
services. Subscriber irrevocably covenants, promises and agrees to
indemnify Delavo™ and/or their assigns and to hold
Delavo™ and/or their assigns harmless from and
against any and all losses, claims, expenses, suits, damages, costs,
demands or liabilities, joint or several, of whatever kind or nature
which Delavo™ and/or their assigns may sustain or to
which Delavo™ and/or their assigns may become
subject arising out of or relating in any way to the use of the
services provided under this agreement, including, without
limitation, in each case attorneys' fees, costs and expenses
actually incurred in defending against or enforcing any such losses,
claims, expenses, suits, damages or liabilities.
PRIVACY STATEMENT: Delavo™ will not rent, sell,
access or in anyway use my customer database information. This
information will be kept strictly confidential in the highest manner
possible.
Due to the nature of the technologies and Internet stability,
Delavo™ and/or their assigns provides, service
interruptions may occur. No full, partial, or prorate refunds will
be made as adjustment for any such service interruption. Subscriber
hereby acknowledges that changes in the nature of the services which
may be offered under this agreement which are beyond the control of
Delavo™ and/or their assigns do not constitute
grounds for any full or partial refund of any advance fees paid.
A. Services to be Provided. We agree to provide you, directly or
through our subcontractors and affiliates, with our e-commerce
services.
B. Termination. We may terminate your account:
(1) If any check drafts authorized under this Agreement, are
returned unpaid.; (2) if you violate our Terms Of Service Policy;
(3) if you breach any term of this agreement; (4) if you are
involved in the sales and/or distribution of the following
materials:
a) Cable filters.; b) Ponzi or Pyramid Schemes.; c) sale and/or
distribution of any illegal materials.; or (5) for any reason, at
our sole discretion.
C. No Warranties. WE MAKE NO WARRANTIES TO YOU OF ANY KIND,
EXPRESSED OR IMPLIED, WITH RESPECT TO THE SERVICE Delavo™, ITS SUBCONTRACTORS AND AFFILIATES PROVIDE YOU. WE EXPRESSLY
DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS OF THIS
SERVICE FOR A PARTICULAR PURPOSE. We shall not be liable for any
damages suffered by you, whether indirect, special, incidental,
exemplary, or consequential, including, by not limited to, loss of
data or service interruptions, regardless of cause or fault. We are
not responsible for your lost profits or for your loss of data or
information. If notwithstanding this clause we are held liable to
you.
While we take all reasonable precautions to ensure your database is
secure and protected. You understand and agree that we are under no
obligation to export, extract, retrieve or "massage" your database
for you except through our EXPORT function.
D. TERMS. You agree: (1) to use our system in a manner that is
ethical and in conformity with community standards; (2) to respect
the privacy of other users (you shall not intentionally seek data or
passwords belonging to other users, nor will you modify files or
represent yourself as another user unless explicitly authorized to
do so by that user); (3) to respect the legal protection provided by
copyright law, trade secret law, or other laws protecting
intellectual property. 4) to accept commercial email through
Delavo™.
If we learn of a violation or likely violation of our TERMS OF
SERVICE, we will attempt to notify you. If you do not take immediate
remedial action which is satisfactory to us, or in the event of a
serious violation of the TERMS OF SERVICE, we reserve the right to
terminate your account immediately. Every effort will be made to
inform you prior to account termination, and to re-establish your
account upon receiving such representations from you as we deem
appropriate in the circumstances.
We strictly prohibit any involvement in UCE campaigns, commonly
known as SPAM. As such, by submitting to the terms outlined in our
Terms of Service, you are also bound to the policies contained in
our Spam Policy. Please read our Spam Policy.
You agree to indemnify and hold us harmless from any claim resulting
from your use of this service which damages any person.
E. Assignment. This agreement is personal to you. You may not assign
your rights under this agreement without our prior written consent.
If you do assign your rights, as would be the case were someone
other than you to use your account, you shall remain liable to us
for any fees due under this agreement. We may assign this agreement
at any time.
F. Change of Terms and Conditions. We reserve the right to change
the terms and conditions of this agreement as needed. Use of our
servers by you after said changes constitutes acceptance of those
new terms and conditions. If you do not agree to the new terms and
conditions, you may terminate this agreement in accordance with our
cancellation policy.
